WONG SHOU SIEN

Shou Sien has been in legal practice for over 20 years and is a founding partner of Shou & Partners.  She has broad experience in the areas of Corporate Commercial, with a focus on Technology, Telecommunications, Media and Intellectual Property.  Prior to the founding of Shou & Partners, she practised for a number of years at the Malaysian member firm of an international law firm and was a partner at a leading local firm.

 

Corporate Commercial & Start Ups

 

Shou Sien acts for various start-ups and investors on the establishment of their business, their standard contracts/terms of service, privacy policy, shareholders/founders, funding and investment agreements. She regularly provides corporate advisory services involving cross-border acquisitions, disposals, joint ventures and the establishment of new subsidiaries in various sectors. She has been involved in structuring, negotiating, drafting and advising on asset sale and purchase agreements, share sale and purchase agreements, joint venture and shareholder agreements and collaboration agreements, both in Malaysia and for outbound investments in the Asia Pacific, PRC and India.

 

She has advised on various mergers and acquisitions and capital raising exercises, including advising on corporate proposals for listing on Bursa Malaysia and corporate restructuring exercises for listed companies.

  • Advised an international mobile content provider’s acquisition of takeover targets within Asia Pacific, including the due diligence exercise, advising on the legal documentation and setting up the ownership and management structures to comply with local equity and regulatory requirements and obtaining the necessary licences. Worked closely with management to effect the integration of the targets within the group and the subsequent divestment and rationalisation exercise.

  • Advised start-ups and VCs on investment and funding rounds and exits, including due diligence exercises, investment, funding and partnership documentation.

 

Technology and Digital

 

Shou Sien was responsible for developing new areas of practice within her previous firms - Technology and Intellectual Property respectively. She has advised a range of local and international clients from both the provider and customer sides on regulatory and contractual issues in connection with IT contracts and e-commerce, e-payment, data protection/privacy, media and telecommunications. Shou Sien has been involved in structuring, drafting, negotiating and advising on various IT and media contracts, including procurement, software as a service, licences, software development, support & maintenance, distribution, outsourcing, hardware supply, leasing, turnkey, escrow, on-line sales/services, asset sale/transfer, commissioning, sponsorship and teaming contracts.  She also advises on the digital transformation of business and operations, new commercial and contractual models, the adoption of disruptive technologies (such as big data, cloud, machine learning, IoT), security, data protection and privacy issues and regulatory compliance.

 

  • Advised a MSC status IT company on their contracts for the provision of core banking software and systems, licensing, support and related services.

  • Advised telemedicine, health, fitness and HR analytics start-ups on business set-up and contractual, regulatory and legal requirements.

 

 

Intellectual Property Rights (IPR)

 

Shou Sien has broad experience in the licensing, commercialization and transfer/buy-out of all forms of IPR and their distribution and marketing through various platforms, including the structuring and drafting of licensing, franchising, agency, distribution, rights buy-out, content, promotional and channel agreements and advising on the regulatory aspects. She also advises on IP filings, including applications up to registration process, defence of registrations (oppositions and non-use) and infringement; and also the protection of confidential information, trade secrets, data protection and privacy.

  • Advised several F&B and retail groups on their franchise, licensing and marketing agreements.

  • Advised various starts ups on their IPR ownership, transfer and licensing agreements.

  • Advised local entrepreneurs on their IP filing strategies locally and overseas, clearance searches and management of their brand portfolios.

  • Advised on company IPR and non-disclosure policies and contractual documentation for employees, consultants, contractors and partners.
